Terms of Service

1. Acceptance of Terms

By accessing or using RoomX AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and RoomX AI. We reserve the right to update these Terms at any time. Your continued use after changes constitutes acceptance of the updated Terms.

2. Account Registration and Eligibility

2.1 Account Creation

To use RoomX AI, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account

2.2 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or misuse the Service.

3. Subscription Plans and Billing

3.1 Pricing Tiers

RoomX AI offers the following subscription plans:

• Free Plan: 2 staging images per month with watermark, no scene videos or listing videos
• Starter ($29/month): 50 staging images per day, 20 listing videos per day, 10 scene videos per month (720p), no watermark
• Pro ($79/month): 200 staging images per day, 50 listing videos per day, 20 scene videos per month (1080p), no watermark
• Agency ($199/month): Unlimited staging images, 100 listing videos per day, 100 scene videos per month (1080p), priority support

3.2 Billing and Renewals

• Subscriptions are billed monthly on a recurring basis
• You will be charged automatically each billing cycle until you cancel
• Prices are subject to change with 30 days' notice
• All payments are processed securely through Stripe

3.3 Upgrades and Downgrades

• Upgrades take effect immediately with prorated billing
• Downgrades take effect at the next billing cycle
• You retain current benefits until the next billing date when downgrading

4. Usage Limits and Quotas

4.1 Daily and Monthly Limits

• Free Plan: Monthly limits reset on your subscription anniversary date
• Paid Plans: Daily limits reset at midnight UTC; scene video limits reset monthly
• Unused limits do not carry over or accumulate

4.2 Fair Use Policy

The Agency plan offers "unlimited" staging images, subject to fair use. We define fair use as normal business usage by a real estate professional or agency. Excessive automated requests, bulk processing beyond reasonable business needs, or attempts to resell our service may result in throttling or account suspension.

5. Intellectual Property and Content Rights

5.1 Your Content

You retain all rights to the photos you upload. By uploading content, you grant us:

• A license to process, store, and generate staging images from your photos
• The right to use uploaded images solely to provide our Service to you
• We do not claim ownership of your original photos

5.2 Generated Content

• Paid Plans: You own all AI-generated staging images and videos created with your account
• Free Plan: Generated content includes a watermark and is for evaluation purposes only
• You may use generated content for commercial real estate marketing purposes

5.3 MLS and Listing Disclosure Requirements

You are responsible for complying with MLS and local regulations. When using virtually staged images on MLS, Zillow, or other listing platforms, you must include appropriate disclosure (e.g., "Virtually Staged" or "Photos Virtually Staged"). RoomX AI is not liable for non-compliance with disclosure requirements.

5.4 Our Platform and Technology

RoomX AI retains all rights to our platform, AI models, algorithms, and technology. You may not reverse engineer, copy, or create derivative works from our Service.

6. Prohibited Activities

You agree NOT to:

• Upload images you do not have rights to use
• Use the Service for illegal purposes or to create deceptive content
• Share your account credentials or transfer your subscription
• Attempt to circumvent usage limits or payment systems
• Upload offensive, harmful, or inappropriate content
• Resell or redistribute our Service without authorization
• Use automated bots or scripts to abuse the Service

7. Service Availability and Limitations

7.1 Uptime and Maintenance

We strive for 99% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

7.2 Content Quality

AI-generated results depend on input photo quality. We do not guarantee specific results and recommend reviewing all generated content before use.

7.3 Beta Features

Some features may be labeled as "Beta" or "Coming Soon" and are provided as-is without warranties.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS.

9. Indemnification

You agree to indemnify and hold harmless RoomX AI from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights (including MLS disclosure violations).

10. Termination

10.1 Cancellation by You

You may cancel your subscription at any time from your Account Settings. Your access continues until the end of the current billing period.

10.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or misuse the Service.

10.3 Data Deletion

Upon account termination, your data will be retained for 90 days before permanent deletion.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except for small claims court matters.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website. Continued use after changes constitutes acceptance.
